Welcome to MedBrief, an AI-powered medical-legal intelligence platform operated by Precision Data (“we,” “our,” or “us”). These Terms of Use (“Terms”) govern your access to and use of the MedBrief platform, website, and related services (collectively, the “Services”). By using MedBrief, you agree to these Terms. If you do not agree, you may not use the Services.

1. Use of Services

We grant you a limited, non-exclusive, non-transferable license to use MedBrief for your professional, internal business purposes.

You are responsible for maintaining the security of your account and ensuring that only authorized users access the Services.

You may not:

use the Services for unlawful purposes;

attempt to copy, reverse engineer, or modify the Services;

upload or share data you do not have rights or legal authority to use;

interfere with or disrupt the security or integrity of the Services.

2. Data Rights and Privacy

Your Data: You retain ownership of the data, records, and materials you upload into MedBrief (“Client Data”).

Use of Data: We process Client Data solely to provide and maintain the Services.

Anonymized Improvements: We may use anonymized and aggregated data to improve MedBrief, provided it cannot identify you or your clients.

Compliance: We implement commercially reasonable safeguards to protect Client Data and comply with applicable privacy and healthcare laws, including HIPAA where applicable.

3. Confidentiality

Both parties agree to keep each other’s confidential information secure and not disclose it to third parties, except as required by law or with prior written consent.

4. Intellectual Property

All rights, title, and interest in MedBrief, including software, AI models, and platform content, remain with Precision Data.

These Terms do not grant you any rights to our trademarks, brand elements, or proprietary technology.

5. Disclaimers

MedBrief is provided on an “as is” and “as available” basis.

We do not warrant that the Services will be error-free, uninterrupted, or fit for a specific purpose.

The Services are designed to assist professionals but are not a substitute for independent medical, legal, or professional judgment.

6. Limitation of Liability

To the maximum extent permitted by law, Precision Data is not liable for any indirect, incidental, or consequential damages.

Our total liability for any claim related to your use of MedBrief will not exceed the amount you paid for access to the Services in the twelve (12) months prior to the claim. If no fees were paid, liability is capped at one hundred U.S. dollars ($100).

7. Termination

You may stop using MedBrief at any time.

We may suspend or terminate your access if you violate these Terms or misuse the Services.

Sections concerning confidentiality, intellectual property, disclaimers, and limitation of liability will survive termination.

8. General Terms

Governing Law: These Terms are governed by the laws of the State of Illinois, USA, without regard to conflict of law principles.

Entire Agreement: These Terms constitute the entire agreement between you and Precision Data regarding MedBrief.

Severability: If any provision is found unenforceable, the remainder will remain in effect.

Assignment: You may not assign your rights under these Terms without our prior written consent.

No Waiver: Failure to enforce any part of these Terms is not a waiver of our rights.

9. Changes to Terms

We may update these Terms from time to time. If we make material changes, we will notify you by posting the updated Terms on our website or through the platform. Your continued use of MedBrief after changes take effect constitutes acceptance of the updated Terms.
