Terms of Use

Welcome to MedBrief, a service provided by Precision Data Capture, LLC ("Company," "we," "our," or "us"). These Terms of Use ("Terms") govern your access to and use of the MedBrief Services, including any associated content, tools, and deliverables (the "Services").
By accessing or using the Services, you ("Client," "you," or "your") agree to be bound by these Terms.

If you do not agree to these Terms, you may not use the Services.


1. MedBrief Services

MedBrief provides a suite of services that collect, process, analyze, and synthesize medical records and healthcare data through an AI-assisted platform.
The Services include:

- Data Collection and Integration: Aggregation of medical records and healthcare data provided by you.

- AI-Assisted Data Synthesis: Analysis and interpretation of your data based on your instructions.

- Reporting: Development of summary reports ("Deliverables") customized to your needs.

We reserve the right to determine the methods, details, and means of providing the Services, and may engage contractors to assist in delivering the Services.

2. Client Responsibilities

You are solely responsible for:

- Providing accurate, complete, and authorized data ("Client Data") in the requested format.

- Ensuring you have all necessary rights and permissions to provide the Client Data.

- Delays in providing Client Data may affect project timelines. You represent and warrant that your submission of Client Data does not infringe on any third-party rights. You agree to indemnify us for any claims resulting from your Client Data.

3. License and Intellectual Property

Upon your payment in full, you are granted a non-exclusive, royalty-free license to access and use the Deliverables.
We retain ownership of any pre-existing intellectual property, independently developed tools, and improvements used to provide the Services.
We may use anonymized and aggregated Client Data to improve and train our AI systems.

4. Confidentiality

Both parties agree to:

Keep each other’s confidential information secure.

Only use confidential information as necessary to perform under these Terms.

Not disclose confidential information except as permitted.

Confidential information does not include information that is publicly available, lawfully obtained from third parties, independently developed without use of confidential information, or required to be disclosed by law.

5. Data Security and Compliance

We maintain commercially reasonable security measures in compliance with applicable HIPAA Privacy Laws. We will promptly notify you of any data breach involving your confidential information.

6. Fees and Payment

Fees for the Services will be communicated at the time of purchase or engagement.
You agree to pay all fees before delivery of Deliverables.
Late payments may accrue interest at 1.5% per month (or the maximum rate allowed by law), and you agree to pay all reasonable costs of collection.

7. Marketing

We may reference your name and logo in our marketing materials, portfolios, and case studies, subject to our confidentiality obligations.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND.
We disclaim all warranties, including merchantability, fitness for a particular purpose, non-infringement, or that the Services will be error-free or uninterrupted.
Use of the Deliverables is at your own risk and should not replace professional advice.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM SHALL NOT EXCEED THE GREATER OF:

THE AMOUNT PAID FOR THE SERVICES IN THE 12 MONTHS PRIOR TO THE CLAIM; OR

ONE HUNDRED DOLLARS ($100).

WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES.

10. Indemnification

You agree to indemnify, defend, and hold us harmless from any claims arising out of:

- Your use of the Services;

- Your Client Data;

- Your violation of these Terms;

-Any infringement caused by your submissions.

11. Termination

Your rights under these Terms continue until the completion of Services or termination of any applicable subscription.
Certain sections (such as intellectual property, confidentiality, warranties, limitations of liability, and indemnification) will survive termination.

12. General Terms

Entire Agreement: These Terms constitute the entire agreement between you and us regarding the Services.

Governing Law: These Terms are governed by the laws of the State of Illinois, USA.

Severability: If any part of these Terms is held invalid, the remaining sections remain enforceable.

Waiver: Failure to enforce any provision will not constitute a waiver.

Independent Contractors: You and we are independent contractors.

Assignment: You may not assign these Terms without our prior written consent.

Attorney’s Fees: The prevailing party in any legal dispute arising from these Terms may recover attorneys’ fees and costs
